StuntIQ Stealth Beta Non-Disclosure Agreement

Version: 1.0 Effective Date: March 2026 Parties: SkillGrade Labs LLC ("Company") and the Beta Participant ("Recipient")

1. Background and Purpose

StuntIQ is a proprietary AI-assisted sports video analysis platform developed by SkillGrade Labs LLC and currently in stealth development. The platform incorporates novel technology including computer vision models, AI scoring systems, and video analysis workflows that are not publicly disclosed and may be the subject of pending patent filings.

Access to the StuntIQ closed beta requires agreement to this Non-Disclosure Agreement. By accessing the beta, you agree to be bound by the terms below.

2. Definition of Confidential Information

"Confidential Information" means any non-public information disclosed to you through your participation in the StuntIQ closed beta, including but not limited to:

• Software features and user interface — the design, layout, workflows, and functionality of the StuntIQ platform, including screens, navigation, and interactions
• AI models and analysis pipeline — the architecture, behavior, training approach, and outputs of StuntIQ's computer vision and machine learning systems
• Analysis outputs — scoring systems, difficulty estimation logic, error detection algorithms, keypoint extraction methods, and any quantitative outputs generated by the platform
• Scoring and evaluation systems — the methodology, criteria, and logic used to assess athletic performance
• System architecture — server infrastructure, data flows, API design, and technical implementation details
• Business information — roadmap, planned features, partnership discussions, and go-to-market strategy
• Any other information designated as confidential or that a reasonable person would understand to be confidential given the context

Confidential Information does not include information that: (a) is or becomes publicly available through no act of the Recipient; (b) was already known to the Recipient prior to disclosure; or (c) is independently developed by the Recipient without reference to the Confidential Information.

3. Obligations of Beta Participants

As a condition of beta access, you agree to:

3.1 Non-Disclosure

Do not share, publish, or disclose Confidential Information to any third party without prior written consent from SkillGrade Labs LLC. This includes:

• Do not post screenshots, screen recordings, or descriptions of the StuntIQ interface on social media, forums, or any public channel
• Do not share videos processed by StuntIQ publicly or with parties outside your authorized program
• Do not describe, demonstrate, or disclose platform features or AI outputs to parties outside your organization

3.2 No Recording or Distribution

Do not record video demos, walkthroughs, or tutorials of the StuntIQ platform for distribution outside your authorized program. Do not distribute any recordings of the beta experience.

3.3 No Reverse Engineering

Do not attempt to reverse engineer, decompile, disassemble, or derive the source code, algorithms, models, or architecture of the StuntIQ platform or its AI systems.

3.4 Limited Internal Use

Use Confidential Information only for the purpose of participating in the closed beta evaluation. Do not use Confidential Information for any competitive purpose or to develop competing products or services.

3.5 Protect Confidential Information

Take reasonable precautions to protect Confidential Information from unauthorized disclosure. Notify SkillGrade Labs LLC promptly if you become aware of any unauthorized disclosure or use.

4. Confidentiality Period

Your obligations under this Agreement begin upon your first access to the StuntIQ beta and continue for five (5) years from the date of disclosure of each item of Confidential Information, or until the specific Confidential Information is publicly disclosed by SkillGrade Labs LLC, whichever occurs first.

5. Intellectual Property Ownership

All Confidential Information, including the StuntIQ platform, AI models, scoring systems, software, and any related technology, is and remains the sole and exclusive property of SkillGrade Labs LLC.

Nothing in this Agreement or in your participation in the beta grants you any license, ownership interest, or intellectual property rights in the StuntIQ platform or any component thereof.

Any feedback, suggestions, or ideas you provide regarding the platform become the property of SkillGrade Labs LLC and may be used without restriction or compensation.

6. No License Granted

This Agreement grants you access to the beta for evaluation purposes only. No license to use, copy, modify, distribute, or create derivative works from the platform or any Confidential Information is granted, express or implied.

7. Return and Deletion of Confidential Materials

Upon request by SkillGrade Labs LLC, or upon termination of your beta access, you agree to:

• Promptly delete or destroy all Confidential Information in your possession or control
• Delete any screenshots, recordings, or documents containing Confidential Information
• Confirm in writing that all Confidential Information has been deleted if requested

8. Beta Access and Termination

SkillGrade Labs LLC may revoke your beta access at any time for any reason, including but not limited to violation of this Agreement. Your confidentiality obligations survive the termination of your beta access.

9. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in courts of competent jurisdiction in Virginia.

10. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding confidentiality of the StuntIQ beta. It supersedes any prior understanding, whether written or oral, on the same subject.
